1. Acceptance of Terms

Your access to and use of the Site constitutes your full and unconditional acceptance of these Terms of Service, as well as any additional guidelines, rules, or policies applicable to specific services offered through the Site. These Terms apply to all visitors, customers, registered users, and any other individuals who access or use the Site in any manner whatsoever.

SheRise Online Solutions LLC (hereinafter referred to as "SheRise," "we," "us," or "our") reserves the right, in its sole discretion, to modify, amend, update, or replace these Terms at any time and without prior notice. When changes are made, we will update the "Effective Date" at the top of this document. It is your responsibility to review these Terms periodically for any updates. Your continued access to or use of the Site following the posting of any changes to these Terms constitutes your binding acceptance of those changes. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Site.

2. Eligibility

The Site is intended solely for use by individuals who are eighteen (18) years of age or older. If you are under the age of eighteen (18), you may use the Site only with the express involvement, supervision, and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

By accessing the Site or placing an order through the Site, you represent and warrant that: (a) you are at least eighteen (18) years of age, or are accessing the Site under the supervision of a parent or legal guardian; (b) you have the full legal authority, right, and capacity to enter into a binding contractual agreement; and (c) all information you submit to SheRise is truthful, accurate, current, and complete. SheRise reserves the right to refuse service to any individual who does not meet these eligibility requirements or who provides false information regarding eligibility.

3. Products and Services

SheRise Online Solutions LLC operates an online retail store at www.sheriseonline.pet, powered by Shopify's e-commerce platform, through which it offers pet products for sale to consumers (the "Products"). The following terms govern all Products and related services offered through the Site:

1. Availability. All Products are offered subject to availability. SheRise reserves the right, in its sole discretion, to limit the quantities of any Product available for purchase, to discontinue any Product at any time without prior notice, and to refuse the sale of any Product to any person or in any geographic location.
2. Product Descriptions. SheRise endeavors to describe its Products as accurately as possible and presents all product information, descriptions, specifications, and imagery in good faith. However, SheRise does not warrant that product descriptions, photographs, pricing, or other content on the Site are accurate, complete, reliable, current, or error-free. In the event that a Product is listed at an incorrect price or with incorrect information due to typographical error, pricing error, or any other mistake, SheRise reserves the right to refuse or cancel any orders placed for such Product, whether or not the order has been confirmed and payment processed. If payment has already been collected, a full refund will be issued.
3. Pricing. All prices displayed on the Site are stated in United States Dollars (USD) and are subject to change at any time without prior notice. Prices do not include applicable taxes or shipping charges, which will be calculated and displayed at checkout. SheRise is not responsible for pricing errors and reserves the right to correct any such errors at any time.

4. Orders and Payment

The following terms govern the placement of orders and the processing of payments through the Site:

1. Order as Offer. By completing and submitting an order through the Site, you are making a binding offer to purchase the selected Product(s) at the price and under the conditions stated at the time of your order. Your order constitutes an offer to SheRise, and no contract of sale is formed until SheRise accepts your order by dispatching the Product(s) and sending a confirmation of shipment to the email address provided.
2. Right to Refuse or Cancel Orders. SheRise reserves the right, in its sole discretion, to refuse, limit, or cancel any order for any reason, including but not limited to: (a) suspected fraudulent activity; (b) errors in pricing or product description; (c) inability to verify billing or shipping information; (d) unavailability of a Product; or (e) violation of these Terms. If SheRise cancels an order after payment has been received, a full refund will be issued to the original payment method within a reasonable timeframe.
3. Payment. Payment in full is required at the time of checkout. SheRise accepts payment via major credit cards, debit cards, Shop Pay, PayPal, and other payment methods made available through the Shopify platform from time to time. All payment transactions are processed through secure, encrypted channels. SheRise does not store full credit card or sensitive payment information on its servers.
4. Customer Responsibility. You are solely responsible for ensuring that all billing information, shipping addresses, and contact details provided at the time of your order are accurate and complete. SheRise shall not be liable for any loss, damage, or delay resulting from inaccurate or incomplete information provided by the customer.

5. Shipping and Delivery

Shipping and delivery terms for all orders placed through the Site are governed by SheRise's Shipping Policy, which is incorporated herein by reference and available for review on the Site. Customers are encouraged to review the Shipping Policy in full prior to placing an order.

In addition to the Shipping Policy, the following terms apply to all shipments:

1. Carrier Delays and Force Majeure. SheRise shall not be responsible or liable for any delays in the delivery of orders caused by third-party carriers, postal services, customs agencies, weather conditions, natural disasters, public health emergencies, labor disputes, or any other circumstances beyond SheRise's reasonable control. Estimated delivery times, where provided, are estimates only and do not constitute guarantees of delivery.
2. Transfer of Risk. The risk of loss and title for all Products purchased through the Site pass to the customer upon SheRise's delivery of the Product(s) to the designated carrier for shipment. Once the carrier has taken possession of the order, SheRise's liability for the condition and delivery of the Product(s) ceases, and any claims for loss or damage in transit should be directed to the applicable carrier.

6. Returns and Refunds

All returns and refund requests are governed by SheRise's Return and Refund Policy, which is incorporated herein by reference and available for review on the Site. Customers are strongly encouraged to review the Return and Refund Policy in full prior to making a purchase.

By way of summary — and without limiting the full terms set forth in the Return and Refund Policy — the following key terms apply:

1. Return Window. Eligible Products may be returned within thirty (30) calendar days of the date of delivery.
2. Prepaid Return Label. SheRise will provide a prepaid return shipping label for all eligible returns. Customers must follow the return instructions provided by SheRise when initiating a return.
3. Non-Returnable Items. SheRise does not accept returns on food, treats, supplements, consumable products, or any product that has been opened and is subject to health or safety restrictions. All such sales are final.

In the event of any conflict between the summary above and the full Return and Refund Policy, the full Return and Refund Policy shall govern.

7. Intellectual Property

All content published on or made available through the Site — including, without limitation, text, articles, product descriptions, photographs, product images, graphics, illustrations, logos, trademarks, service marks, trade dress, page layouts, and the overall look and feel of the Site (collectively, the "Content") — is owned by, or is licensed to, SheRise Online Solutions LLC. All such Content is protected under applicable United States copyright law, trademark law, trade dress law, and other applicable intellectual property laws and international treaties.

Any unauthorized use of the Content may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.

8. User Conduct

As a condition of your access to and use of the Site, you agree to use the Site only for lawful purposes and in a manner consistent with all applicable federal, state, and local laws and regulations. You expressly agree that you will NOT:

1. Use the Site for any unlawful, fraudulent, abusive, harmful, or malicious purpose, or in connection with any illegal activity or enterprise;

SheRise reserves the right, in its sole discretion and without notice or liability, to suspend, restrict, or permanently terminate the access of any user who is found to have violated these conduct standards or any other provision of these Terms.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, INFORMATION, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SHERISE ONLINE SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SheRise does not warrant that: (a) the Site will be available, uninterrupted, timely, secure, or error-free at all times; (b) the results that may be obtained from the use of the Site will be accurate or reliable; (c) the quality of any Products, services, information, or other material obtained through the Site will meet your expectations; or (d) any errors or defects in the Site will be corrected.

Veterinary Disclaimer. The Products sold on the Site and any product information, descriptions, or recommendations provided on the Site are not intended to diagnose, treat, cure, or prevent any animal health condition or disease and do not constitute professional veterinary advice. Customers should always consult a duly licensed and qualified veterinarian before introducing any new product, supplement, food, or treatment into their pet's health regimen. SheRise assumes no responsibility for the use of its Products in a manner contrary to product instructions or without appropriate veterinary guidance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERISE ONLINE SOLUTIONS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT; (B) ANY PRODUCTS PURCHASED THROUGH THE SITE; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR DATA; OR (D) ANY OTHER MATTER RELATING TO THE SITE OR THESE TERMS, EVEN IF SHERISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In any event, the total aggregate liability of SheRise Online Solutions LLC to you for any and all claims arising out of or in connection with your use of the Site or the purchase of any Product shall not exceed the total amount actually paid by you to SheRise for the specific Product giving rise to the applicable claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the limitations and exclusions set forth in this Section shall apply to the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify, defend, and hold harmless SheRise Online Solutions LLC and its members, managers, officers, directors, employees, agents, licensors, service providers, and successors and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) of any kind arising out of or relating to:

1. Your breach or alleged breach of any provision of these Terms of Service;
2. Your misuse of the Site, any Product purchased through the Site, or any service provided by SheRise;
3. Your violation of any applicable federal, state, or local law, regulation, or ordinance;
4. Your violation of any third party's rights, including but not limited to intellectual property rights, privacy rights, or contractual rights; or
5. Any content, information, or material you submit, post, transmit, or otherwise make available through the Site.

SheRise reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with SheRise's defense of any such claims. You agree not to settle any such claim without the prior written consent of SheRise.

Shopify Platform Disclosure. The Site operates on the Shopify e-commerce platform. Your use of the Site may be subject to Shopify's own Terms of Service, Privacy Policy, and Acceptable Use Policy, which are maintained and enforced by Shopify Inc. SheRise Online Solutions LLC is an independent merchant operating through the Shopify platform and is not an affiliate, partner, subsidiary, employee, or agent of Shopify Inc. SheRise is solely responsible for its products, services, and these Terms of Service.

13. Privacy

Your use of the Site is also governed by SheRise's Privacy Policy, which is incorporated into these Terms of Service by reference in its entirety and is available for review on the Site. The Privacy Policy describes the types of information SheRise collects from users of the Site, how that information is used, stored, and protected, and the circumstances under which it may be shared with third parties.

By accessing or using the Site, placing an order, or otherwise providing your personal information to SheRise, you acknowledge that you have read and understood the Privacy Policy and you consent to the data collection, use, and sharing practices described therein. If you do not consent to those practices, you must discontinue your use of the Site immediately.

14. Governing Law and Dispute Resolution

These Terms of Service and any disputes or claims arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to its conflict of law rules or principles that would cause the application of the laws of any other jurisdiction.

Informal Resolution. In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Product purchased through the Site, the parties agree to first attempt to resolve the matter informally and in good faith. To initiate informal resolution, you must contact SheRise Online Solutions LLC at sheriseonlinesolutions@gmail.com with a written description of the nature of your dispute and the relief you are seeking. The parties shall have a period of thirty (30) calendar days from the date of such notice to attempt to reach an amicable resolution.

Formal Proceedings. If informal resolution is unsuccessful within the thirty (30) day period described above, either party may pursue resolution of the dispute through the courts of competent jurisdiction located in the State of Tennessee. You hereby irrevocably consent to the personal jurisdiction of such courts and agree to waive any objection to the laying of venue in such courts.

International Customers. For customers located outside the United States, nothing in these Terms shall be construed to limit or waive any rights you may have under the mandatory consumer protection laws of your country of residence. To the extent that such local laws conflict with these Terms, those mandatory local consumer protection provisions shall take precedence, but only to the minimum extent required by applicable law.

15. Severability

If any provision of these Terms of Service is held by a court or tribunal of competent jurisdiction to be invalid, illegal, void, unenforceable, or contrary to applicable law, that provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect and shall not be affected, impaired, or invalidated in any manner. The parties agree that such court or tribunal shall endeavor to give effect to the parties' intentions as reflected in any such provision, to the fullest extent possible under applicable law.

16. Entire Agreement

These Terms of Service, together with the following documents incorporated herein by reference, constitute the entire agreement between you and SheRise Online Solutions LLC with respect to your access to and use of the Site and the purchase of Products, and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications, whether oral or written, between the parties regarding the same subject matter:

• The SheRise Online Solutions LLC Privacy Policy;
• The SheRise Online Solutions LLC Return and Refund Policy; and
• The SheRise Online Solutions LLC Shipping Policy.

No oral or written representations, warranties, or agreements made outside of these Terms and the documents listed above shall be binding upon SheRise unless memorialized in a written instrument duly signed by an authorized representative of SheRise Online Solutions LLC. In the event of any conflict between these Terms and any of the above-referenced policies, these Terms shall govern with respect to matters of user eligibility, conduct, and liability, and the applicable policy shall govern with respect to matters specifically addressed therein.
